Section 01

Important Notice

Participation in any investment, business-growth or wealth-growth arrangement involves financial and operational risks. An investor should evaluate the arrangement independently and participate only after understanding its structure, conditions and possible outcomes.

Information displayed on the website, dashboard, presentation, illustration or benefit calculator is intended to explain the configured platform structure. It should not be treated as a guarantee of profit, capital protection or fixed payment.

Popular Ispat Industries Pvt. Ltd. must not be represented as being approved, guaranteed, insured or regulated by any government authority unless the company has valid documentary authority to make that specific representation.

Section 02

No Guaranteed or Assured Return

Any percentage, monthly-return illustration, benefit amount, example, projection or dashboard figure is indicative or configured for explanation and calculation purposes.

Actual availability may vary according to business income, realised profits, cash flow, eligibility, applicable deductions, compliance requirements, company policy and other relevant factors.

No employee, introducer, investor, representative or third party is authorised to promise guaranteed profit, risk-free income, assured monthly payment or guaranteed capital appreciation unless such commitment is lawfully documented and expressly authorised by the company.

Do not participate based on verbal promises, social-media claims, screenshots or unofficial return assurances.

Section 03

Capital Risk

The invested or contributed amount may be exposed to the commercial and financial risks of the company and its business activities.

There is a possibility that an investor may receive less than the original amount or may lose part or all of the capital where the company experiences significant losses, insolvency, legal restrictions, asset impairment or business failure.

Loss of Capital

The value recoverable by an investor may be lower than the amount originally contributed.

Limited Liquidity

Funds may remain unavailable during the applicable lock-in or processing period.

Business Performance

Returns and benefits depend on actual company operations, cash flow and financial performance.

Regulatory Change

Changes in law, regulation or regulatory interpretation may affect platform operations.

Section 04

Business and Commercial Risk

Popular Ispat operates in industrial demolition, dismantling, scrap-metal trading, recycling and related commercial activities. Performance may be affected by circumstances beyond the company's control.

Changes in scrap-metal prices and commodity-market conditions
Reduced availability of demolition, dismantling or trading projects
Delay or default by customers, suppliers or project partners
Changes in operating, transportation, labour or processing costs
Damage, delay or disruption at industrial sites or processing yards
Currency movement affecting international transactions
Competition and changes in market demand
Inability to recover, process or sell material at expected values

Section 05

Monthly Return Risk

A configured monthly-return percentage is not equivalent to a bank deposit interest rate or government-guaranteed payment.

Monthly Return availability may depend on actual business performance, distributable income, cash-flow position, eligibility and company policy.

Actual Business Income

Availability may depend on revenue and realised income generated by business operations.

Cash-Flow Availability

A profitable transaction may not always result in immediately available distributable cash.

Configured Eligibility

Calculations remain subject to active status, eligibility conditions and the applicable plan configuration.

Company Policy

Distribution timing and eligibility may be affected by policy, compliance and financial requirements.

Monthly Return processing may be reduced, deferred, suspended, revised or discontinued where permitted by the governing agreement and applicable law.

Section 06

Lock-in and Liquidity Risk

An investment may remain subject to the configured one-year lock-in period or another period specified in the applicable investment agreement.

During the lock-in period, the invested amount may not be immediately redeemable, withdrawable, transferable or available for personal emergencies.

Even after completion of the lock-in period, redemption or withdrawal may require verification, documentation, settlement, applicable deductions and processing time.

Investors should not invest emergency savings, essential living funds or money required for short-term obligations.

Section 07

Additional Benefit Risk

Introduction Benefit, Network Growth Benefit, Monthly Dividend Benefit and Leadership Pool participation are additional, conditional benefits.

These benefits are not automatically earned solely because an account exists or an investment has been submitted.

Introduction Benefit

An introduction does not automatically create eligibility. The introduced investment must satisfy verification, activation and applicable policy conditions.

Network Growth Benefit

Eligibility may depend on qualifying network activity, level conditions, valid investments and the approved calculation structure.

Monthly Dividend Benefit

Dividend-style benefits depend on applicable calculations, company performance, availability and approved policy.

Leadership Pool

Participation may depend on leadership qualifications, performance criteria, pool availability and company approval.

Section 08

Introduction and Network Growth Risk

Investors are not required to assume that network-related benefits will continue indefinitely or reach any particular amount.

Network-related calculations may depend on valid introductions, active investments, level eligibility, account status, verification, cancellation, refund, compliance and applicable company policy.

An investor should not borrow funds, pressure another person or provide misleading return assurances for the purpose of creating network activity.

Each prospective investor should make an independent decision based on official documents and personal financial capacity.

Section 09

Monthly Dividend Benefit Risk

A Monthly Dividend Benefit displayed by the platform is a configured benefit category and should not automatically be treated as a statutory company dividend.

Its availability and calculation may depend on the applicable agreement, qualifying Monthly Return, company performance, distributable amount, eligibility and company policy.

The benefit may not arise where the underlying eligibility, Monthly Return or distribution condition is not satisfied.

Section 10

Leadership Pool Risk

Leadership Pool participation may require specified performance, qualification, account activity, network structure or leadership conditions.

The size of a pool and an individual's share may vary according to available allocation and the number of eligible participants.

Past qualification does not guarantee continued eligibility or a similar benefit in a future distribution period.

Section 11

Distribution Budget Risk

The platform may display a configured distribution structure for Monthly Return and additional benefit categories.

Percentages represent the configured model and should not be interpreted as a promise that every category will always be paid in full or at the displayed rate.

Actual allocation may be affected by realised business income, expenses, reserves, taxes, losses, compliance, refunds, adjustments and the governing agreement.

An illustration based on a total distribution budget is not a guarantee of a corresponding return to every investor.

Section 12

Legal and Regulatory Risk

Laws and regulations applicable to companies, deposits, securities, taxation, money laundering, data protection, advertising and investment-related activities may change or be interpreted differently.

Regulatory developments may require the company to revise, suspend, restrict or discontinue a feature, benefit, payment process, eligibility rule or platform operation.

Nothing on the website should be treated as evidence that a scheme, offering or arrangement is registered with or approved by SEBI, RBI, MCA or another authority unless the relevant official registration and approval details are expressly displayed and independently verifiable.

The company must complete an independent legal and regulatory assessment before accepting investor funds or publicly offering any investment arrangement.

Taxation Risk

Monthly Returns, benefits, dividends, rewards, withdrawals and other amounts may have income-tax, withholding, GST or other tax consequences.

Applicable tax treatment may depend on the nature of the arrangement, investor status, transaction classification, jurisdiction and future changes in law.

The platform's displayed figures may be gross amounts and may not represent the final net amount after applicable tax, withholding, fees or deductions.

Investors should obtain independent tax advice based on their personal circumstances.

Section 14

Operational and Counterparty Risk

Company operations may depend on customers, suppliers, contractors, logistics providers, banks, payment providers, technology vendors and other third parties.

Banking or payment-provider disruption
Documentation or reconciliation errors
Employee or contractor misconduct
Project cancellation or commercial dispute
Inventory loss, damage or valuation difference
Failure of a third-party service provider

Section 15

Technology and Platform Risk

The website and investor platform may experience technical errors, maintenance, cyber incidents, internet outages, data synchronisation issues or temporary unavailability.

Dashboard balances and calculations may remain subject to verification against authorised company records, banking records, transaction ledgers and approved adjustments.

A technical display error does not by itself create a legal right to an incorrect amount or benefit.

Confirm important transactions through official statements, receipts and authorised support channels.

Section 16

Fraud, Impersonation and Cybersecurity Risk

Fraudsters may impersonate the company, its directors, employees or representatives through fake websites, social-media accounts, calls, messages, QR codes or payment links.

Use only officially communicated payment channels
Never disclose passwords, OTPs or login credentials
Verify the website domain before signing in
Do not install unofficial applications or plugins
Confirm changes in bank details directly with the company
Report suspicious communication immediately

Payments made to an unauthorised person or account may not be recognised as payment to Popular Ispat.

Section 17

Force Majeure and External Event Risk

Business operations and payments may be affected by events beyond reasonable control, including natural disasters, fire, flood, war, civil disturbance, pandemic, industrial accident, government restriction, transport interruption, banking disruption or widespread technology failure.

Such events may result in project delays, reduced revenue, temporary platform interruption or delayed processing of distributions and withdrawals.

Section 18

Investor Responsibility

Every investor is responsible for assessing whether participation is suitable for their financial position, objectives, liquidity needs and risk tolerance.

Read the applicable investment plan and agreement carefully
Understand the lock-in period and withdrawal restrictions
Review how monthly returns and other benefits are calculated
Do not rely only on verbal representations or promotional messages
Use only authorised company payment channels
Verify receipts, account records and transaction details
Assess personal financial capacity before participating
Avoid using emergency funds or borrowed money
Seek independent legal, tax and financial advice where appropriate
Keep login credentials, passwords and OTPs confidential

Section 19

Investor Acknowledgement

Before completing an investment, the investor should confirm that they have independently reviewed the applicable documents and understood the material risks.

I understand the applicable lock-in and withdrawal conditions.
I have not relied solely on verbal promises or unofficial representations.

I am participating voluntarily and according to my own financial capacity.

In the registration or investment flow, this acknowledgement should use an unchecked mandatory checkbox with timestamp, document version and audit record.
